Terms of Use for CBA BL Ltd.

By using our Services (collectively, “WingiPay”, “us,” “we” or “our”) operated in Ghana Ltd. You agree to be bound by this Terms and Conditions of Use. Your access to and use of the Service is conditioned on your acceptance of the terms and any guidelines and agreement to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

Limitations Of Our Liability

Indemnity: If you are using the Services on behalf of a company, yourself, business or other entity, or if you are using the Services for commercial purposes, you and the entity will hold harmless and indemnify us from any suit, claim or action arising from or related to the use of the Services or violation of these Terms, including any liability or expense arising from claims (including claims for negligence), losses, failure to secure your personal device, damages, suits, judgments, litigation costs and attorneys’ fees.

Age: If you are under the Minimum Age (as defined for your region, you may not register for an account. Please do not access that content unless you are an adult (i.e., at least the age of majority in your country) or unless otherwise expressly indicated.

Visitor/Member/Partner conduct: You agree not to use the Services in any manner that violates these Terms or our Community Guidelines, including to:
- obtain or attempt to obtain unauthorized access to the Services or to our servers, systems, network, or data.

- make available any content that is harmful to children, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

- violate any applicable laws or regulations.

- impersonate any person or entity; or forge or manipulate headers or identifiers to disguise the origin of any content transmitted through the Service.

- make available any content that you do not have the right to make available or that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any person or entity.

- post content containing advertisements or other commercial solicitations without our prior written permission.

- make available viruses or any other computer code, files, programs or content designed to interrupt, mislead, destroy or limit the functionality of the Services or affect other users; or interfere with or disrupt the Services or servers, systems or networks connected to the Services in any way.

Use Of Service

You must follow any guidelines or policies associated with the Services. You must not misuse or interfere with the Services or try to access them using a method other than the provided interface and the instructions that we provide. You may use the Services only as permitted by law. Unless otherwise expressly stated, you may not access or reuse the Services, or any portion thereof, for any commercial purpose.

a. Anti-Corruption Laws: You agree to comply with all applicable anti-corruption laws including laws that prohibit unlawful payments to anyone for a corrupt purpose in relation to these Terms.

b. Ownership and Reuse: Using the Services does not give you ownership of any intellectual or other property rights or interests in the Services or the content you access. You must not use any branding or logos used in the Services unless we have given you separate explicit written permission. You may not remove, obscure, or alter any legal notices displayed in or along with the Services. Unless you have explicit written permission, you must not reproduce, modify, rent, lease, sell, trade, distribute, transmit, broadcast, publicly perform, create derivative works based on, or exploit for any commercial purposes, any portion or use of, or access to, the Services (including content, advertisements, APIs, and software).

Fees: We reserve the right to charge fees for use of or access to the Services (and any associated support), whether currently in existence or not, in our sole discretion. If we decide to charge fees, our payment terms will apply, and we will provide you with prior notice.

c. Different versions of the Service: Different features may be available on different versions and mediums of our Services and not all features may be available on some selected platforms.

d. Anti-Abuse Policy : We prohibit sending unsolicited emails or messages using our Services. You may not in connection with the Services engage in commercial activity on non-commercial properties or apps or high-volume activity without our prior written consent. You may not engage in conduct or activity that is disruptive to the Services or the experience of other users.

Privacy And Data Proctection

Our privacy policy explains how we treat your personal data. By using the Services, you agree to our privacy policies and that we can use your information in accordance with our privacy policies. By using and benefitting from our Services you recognize that personalization lies at the core of many of our services. Procdure For Copyright Or Other Intellectual Property Infringement Claims

We respect the intellectual property of others, and we expect our users to do the same. We may, in appropriate circumstances and at our discretion, disable, terminate, and/or take other appropriate steps relating to the accounts of users who may be infringers. If you believe that your copyright or intellectual property rights have been infringed, please notify us immediately.

Availability, Errors & Inaccuracies

We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on our web sites. We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

Accuracy Of Information

You undertake to provide accurate and complete information wherever required and shall be solely responsible for the correctness and completeness of information always provided to us. We shall not be liable for consequences arising out of erroneous information supplied by the Customer. If the Customer suspects that there is an error in the information, he has supplied to us, he/she shall notify us to correct such anomaly immediately with proof. We will endeavour to correct the error wherever possible on a best effort basis. While we will take all reasonable steps to ensure the accuracy of the information supplied to the Customer, we shall not be liable for any error, which results in the providing of inaccurate information.

Grant of License And Restrictions

We hereby grant You a non-exclusive, non-transferable, limited, personal and revocable right and license to access and use the service the uses provided for only.

Children

We do not use the Application to knowingly solicit data from or market children under the required age for purposes of opening and/or operating an account in accordance with the local law and regulations of our country.

Security

We are concerned about safeguarding the confidentiality of your information. We provide physical, electronic, and procedural safeguards to protect information we process and maintain. For example, we limit access to this information to authorized employees and contractors who need to know that information in order to operate, develop or improve our application. You may be required to register for a PIN to prevent others from accessing or using our service on Your device. You agree to always keep Your PIN confidential, and to change PIN after validating security questions or notify us immediately if Your PIN is compromised or becomes known to an unauthorized third party.

Please be aware that, although we endeavour to provide you with a security when processing applications on our systems, no security system can prevent all potential security breaches.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersedes and replaces any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after the revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are advised to stop using our Service.
